# Celest Terms of Service

These Terms of Service (the "Agreement") are between Celest AI, Inc.
("Provider") and the company or other organization that acquires, installs,
accesses, or uses the Cloud Service ("Customer"). Consumer and personal use is
excluded from this baseline.

This Agreement consists of this Cover Page, any applicable accepted product
order or Microsoft Marketplace purchase record, the modifications below, and
the [Common Paper Cloud Service Agreement Standard Terms v2.1](https://commonpaper.com/standards/cloud-service-agreement/2.1/),
which are incorporated by reference. If Customer has an active negotiated
agreement signed by the parties for the same Product, that agreement controls.
Otherwise, if accepted instruments conflict, the order of precedence is: the
applicable accepted product order or Microsoft Marketplace purchase record,
then the product terms Celest publishes for the specific product, then these
general `/terms`, then the unmodified Standard Terms.

The person accepting this Agreement represents that they are authorized to
bind Customer. By acquiring, installing, accessing, or using the Cloud Service
after these Terms are conspicuously linked through an authorized distribution
or acceptance flow, Customer accepts this Agreement. A visit to the Terms URL
or a manifest link alone is not acceptance.

## Cover Page Order Form

The covered Cloud Service has no Celest-hosted runtime, Celest API, MCP server, custom connector, database, hosted inference service, or other external Celest service. |

| Covered Claims | Provider Covered Claims: any action, proceeding, or claim that the Cloud Service, when used by Customer according to the Agreement, violates, misappropriates, or otherwise infringes anyone else's intellectual property or other proprietary rights. Customer Covered Claims: any action, proceeding, or claim (1) that Customer Content, when used according to the Agreement, violates, misappropriates, or otherwise infringes anyone else's intellectual property or other proprietary rights; or (2) arising from or relating to Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer). |
| General Cap Amount | The greater of US $1,000 or 1x the fees paid or payable by Customer to Provider in the 12-month period immediately before the claim. |

Capitalized terms not defined on this Cover Page have the meanings assigned by
the Common Paper Standard Terms.

## Key Terms

This baseline applies only to the free/included package-only Microsoft 365
agents and plugins described in the Cloud Service field. It does not apply to
Celest Helpdesk Triage or any Celest-hosted, externally connected, paid, or
materially different product unless that product's applicable listing,
product-specific terms, or order expressly says that it does.

Microsoft 365, Microsoft Copilot, Microsoft Graph, SharePoint, OneDrive,
Microsoft Teams, Microsoft Marketplace, and other Microsoft services are
separately licensed, hosted, and operated by Microsoft. They are not services
operated by Celest. Customer's use of those services, and Microsoft's
processing, availability, retention, residency, security, and model-use
commitments, are governed by Customer's applicable agreements and
data-protection documentation with Microsoft.

The [Celest Privacy Notice](https://celest.dev/privacy) describes the actual
Celest data boundaries for the covered package-only products and the public
website. It is provided for transparency and is not incorporated into this
Agreement as a contractual attachment or data processing addendum.

Notwithstanding Sections 1.4 and 1.6 of the Common Paper Standard Terms,
Celest will not use Customer Content to develop, train, or enhance any
general-purpose or shared artificial-intelligence or machine-learning model.
Celest may use only disclosed, de-identified operational telemetry to operate,
secure, support, and improve the applicable Cloud Service.

The customer-, tenant-, acceptor-, timestamp-, acquisition-, and release-level
records described in the Versioning and acceptance evidence section are
acceptance and distribution evidence, not operational telemetry. Celest may
use and retain them only as described in that section and the Celest Privacy
Notice.

## Attachments, Supplements, and Modifications

Attachments and Supplements: None. No DPA, Security Policy, separate
acceptable-use policy, SLA, service description, or professional-services
description is incorporated into this free/included package-only baseline. The
restrictions in Section 2.1 of the Standard Terms apply. A paid,
Celest-hosted, externally connected, or materially different product is
governed by any product-specific attachments identified in its applicable
terms, Microsoft Marketplace record, or order.

Approved Other Changes / Modifications to the Common Paper Standard Terms:
Section 1.6 (Machine Learning) is deleted and replaced in its entirety with:
"Machine Learning. Notwithstanding Section 1.4 (Feedback and Usage Data), and
except for the acceptance and distribution evidence described in the
Versioning and acceptance evidence section, Provider may use only disclosed,
de-identified operational telemetry to operate, secure, support, and improve
the applicable Cloud Service. The customer-, tenant-, acceptor-, timestamp-,
acquisition-, and release-level records described in that section are
acceptance and distribution evidence, not operational telemetry; Provider may
use and retain them only as described there and in the Celest Privacy Notice.
Provider will not use Customer Content to develop, train, or enhance any
general-purpose or shared artificial-intelligence or machine-learning model."
Section 5.1
(Order Form and Agreement) is modified so this Agreement begins on the
Effective Date, continues until terminated under the Agreement, and does not
automatically renew for another fixed Subscription Period. Section 12.8 (Logo
Rights) is deleted and replaced in its entirety with: "Publicity. Provider may
not publicly identify Customer or use Customer's name, trademarks, or logos in
publicity, marketing, or customer lists without Customer's prior written
consent."

## Versioning and acceptance evidence

Celest preserves an immutable archive of this Terms Version at
<https://celest.dev/terms/versions/2026-09-03.1/> and a machine-readable release
record at <https://celest.dev/terms/versions/2026-09-03.1.json>. That record
binds the Terms Version and publication digests to the covered product and
package releases. It is publication evidence, not evidence that a particular
Customer accepted the Agreement.

For a free self-service package-only product, Celest retains the immutable
Terms Version, publication digests, package or listing release record, and any
customer, tenant, acceptor, timestamp, or acquisition information made
available by the applicable distribution channel. Celest does not represent
that every free self-service channel supplies identity-level acceptance
records.

A paid, Celest-hosted, externally connected, directly distributed, or
negotiated product requires an explicit acceptance record containing Customer
identity, acceptor identity, acceptance timestamp, accepted Terms Version, and
the applicable clickthrough, order, Microsoft Marketplace, or other
acquisition instrument.
